Terms for using the service

These Terms of Service (“Terms”) govern your access to and use of Ready Invoices operated by OMEGA LAB INC. By using the Platform you agree to be bound by these Terms. If you do not agree, do not use the Platform.

We may change these Terms from time to time. When we do, we will post the revised Terms at /terms. Continued use of the Platform for 14 days after we post changes constitutes acceptance of the updated Terms.

1. Eligibility

You may use the Platform only if:

• you are at least 18 years old (or the age of majority in your jurisdiction) or you are at least 13 years old and have the consent of a parent or legal guardian; and
• you have the legal capacity to enter into this contract.

The Platform is not directed to children under 13 and we do not knowingly collect information from anyone under that age.

2. Account registration & security

Some features require an account. When registering you agree to:

• provide accurate, current, and complete information;
• keep your credentials confidential; and
• notify us immediately of any unauthorized use.

You are solely responsible for all activity that occurs under your account.

3. License and acceptable use

We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for your own business purposes. You agree not to:

• reverse engineer, decompile, or tamper with the Platform;
• use the Platform for unlawful, fraudulent, or harmful purposes;
• misrepresent your identity or the services you invoice for; or
• interfere with other users or our infrastructure.

We may monitor usage to ensure compliance and may modify or discontinue features at any time.

4. User submissions

You control the data you upload to the Platform (“User Submissions”). You represent that you have the rights to provide that content and that it does not violate applicable law or third-party rights.

You retain ownership of your User Submissions, but you grant Ready Invoices a worldwide, royalty-free license to host, store, and process that content solely to provide the Platform and support services.

5. Paid services & billing

When you purchase subscriptions or add-ons:

• you authorize us and our payment processors to charge your payment method for fees, taxes, and renewal periods until you cancel;
• all fees are non-refundable except where required by law; and
• prices may change, but we will provide notice where required.

Automatic renewal. If you do not cancel before the end of your subscription term, your plan automatically renews for the same length and your payment method is charged the then-current rate. Cancel through billing settings or by contacting support before renewal.

6. Payment integrations

The Platform may integrate with third-party payment processors or allow you to connect your own merchant accounts. Those services are provided by independent third parties, are subject to their own terms and fees, and are your responsibility.

7. Privacy

Our Privacy Policy explains how we collect, use, and protect information. By using the Platform you consent to those practices.

8. Intellectual property

The Platform, templates, software, text, graphics, and trademarks are owned by or licensed to Ready Invoices. Except for the limited license granted here, you may not copy, modify, distribute, or create derivative works without our consent.

9. Disclaimers

The Platform is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Platform will meet your requirements, be uninterrupted, timely, secure, or error-free.

10. Limitation of liability

To the fullest extent permitted by law, Ready Invoices and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill. Our aggregate liability will not exceed the fees you paid to Ready Invoices in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Ready Invoices and its affiliates from any claim, loss, or damage arising from your use of the Platform, your User Submissions, or your violation of these Terms or applicable law.

12. Suspension & termination

You may stop using the Platform at any time. We may suspend or terminate access if you violate these Terms, engage in fraudulent or abusive activity, or if we discontinue the Platform. Sections that by their nature should survive termination (including ownership, disclaimers, limitations of liability, indemnity, and governing law) remain in effect.

13. Governing law

These Terms are governed by the laws of the Republic of Seychelles, without regard to conflict-of-law rules. Any disputes will be resolved exclusively in the courts located in Mahé, Seychelles, and you consent to their jurisdiction.
